Affiliate Partner Terms

01Parties and platform#

These Affiliate Partner Terms ("Terms"), including Annex 1 and Annex 2, form the Partner Agreement between you ("Partner") and Mori Digital Group LLC ("NarraSEO", "SaaS Business", "we", or "us") for referral services promoting NarraSEO.

Attribution, reporting, and payouts are operated through the Reditus partner platform at getreditus.com ("Reditus"). Reditus is not a party to this Partner Agreement. Reditus platform terms govern your Reditus account; if those conflict with these Terms on commission economics between Partner and NarraSEO, these Terms control.

Enrollment, acceptance of these Terms, and program administration may occur through Reditus. By applying to or participating in the NarraSEO Partner Program, you agree to these Terms.

02Definitions#

Capitalized terms have the meanings below (singular and plural).

• Account means your Reditus (and, if any, NarraSEO) account used to access partner tools.
• Commission Period means the twelve (12) paid months beginning on a Lead's first successful paid charge, as specified in Annex 1.
• Eligible Purchase means a paid NarraSEO self-serve subscription product listed in Annex 1, excluding add-ons and other ineligible items.
• Lead means a prospective customer attributed to Partner under Reditus last-click rules within the cookie window.
• Net Collected Revenue means amounts actually collected and kept by NarraSEO for an Eligible Purchase, after discounts already applied at collection, and excluding tax, refunds, chargebacks, and ineligible line items.
• Partner Program means NarraSEO's affiliate offer published and administered via Reditus.
• Referral Services means Partner's promotional activities using approved referral links or tools to refer Leads, as described in Annex 1.

03Formation#

A Partner Agreement is formed when (1) you request enrollment, (2) you accept these Terms (including Annex 1 and Annex 2), and (3) NarraSEO accepts your enrollment through Reditus or written confirmation. NarraSEO may evaluate and reject any application at its sole discretion.

Order of precedence if documents conflict: (1) Annex 2, (2) Annex 1, (3) these Terms body.

Referral rights are non-exclusive. NarraSEO may engage other partners and may promote itself. Nothing in this Agreement creates a partnership, joint venture, employment, or agency relationship. You may not bind NarraSEO.

04Partner obligations#

You will keep Account credentials confidential and not share them. You will use referral tools only as provided. You will comply with all applicable laws (including advertising, privacy, anti-spam, and FTC endorsement disclosure rules). You will follow reasonable NarraSEO instructions about Referral Services. You will use current pricing and creative; you may not alter NarraSEO materials without written approval. You will describe NarraSEO honestly and will not make unverifiable claims or promises NarraSEO cannot fulfill. Approved partner messaging is summarized in Annex 2.

05Prohibited conduct#

Paid search ads are allowed, except on brand name. You may run paid search (Google Ads, Bing, and similar) on non-brand keywords — for example generic category or competitor terms that do not use NarraSEO brand names. Brand-name paid search is forbidden as set out below. Coupon stacking and dual acquisition cost remain prohibited.

You will not:

• Self-refer: refer yourself, your household, your employer, any entity you control (more than 25% ownership), or any account that shares a payment instrument or trial fingerprint with you.
• Distort tracking, stuff cookies, force clicks, use malware, iframes, or pop-unders.
• Buy or bid on keywords, domain names, or ads that use NarraSEO, Narra, narraseo.com, or confusing misspellings of those names — including "coupon" or "discount" variants of those brand terms — in Google Ads, Bing, Meta, or similar. Non-brand paid search that does not use those names is permitted.
• Run ads that impersonate NarraSEO or compete with NarraSEO brand search marketing in a way likely to confuse customers.
• Promote via unlawful channels, spam, or adult, hate, or illegal content.
• Use coupon, deal, cashback, or incentive networks unless NarraSEO pre-approves in writing.
• Publish or negotiate a public coupon that stacks with your referral link to create dual acquisition cost.
• Claim "unlimited" output, guaranteed rankings, or other banned Layer A claims listed in Annex 2.

Abuse of tools or tracking, or material breach of this section, is cause for immediate termination and forfeiture of unpaid commissions as described under Term and termination.

06Commission and payment#

Subject to Annex 1 and these Terms, Partner may earn commission of 20% of Net Collected Revenue on Eligible Purchases during the Commission Period. Attribution uses a 90-day cookie and last-click rules via Reditus. If no valid referral attribution exists at signup and checkout, no commission is owed.

Coupon or commission, never both. If a Lead's checkout uses a promo, coupon, or partner discount code, commission on that subscription is $0 (including renewals while that discount remains applied, or for the life of that Lead if the first paid invoice used a coupon, as Reditus can express).

Add-ons earn $0. Credit packs, extra seats, extra projects, and other add-on price IDs are excluded.

Prior customers. If the Lead (same account email, Stripe customer, or billing entity) was already a NarraSEO customer before Partner's attribution, commission is $0 unless NarraSEO re-attributes in writing.

Annual plans. Commission is 20% of the collected annual subscription charge attributed under Reditus rules within the Commission Period. One annual invoice does not create twelve separate full commission events beyond what Reditus records on that charge and any renewals within twelve months from first paid charge. The Commission Period clock starts on the Lead's first successful paid charge (post-trial). Trial days do not earn commission and do not extend the twelve months.

Payouts are monthly via Reditus in USD, subject to a 30-day hold from accrual and a $50 minimum threshold. Amounts below the threshold roll forward. Partner is responsible for taxes on commissions. Currency conversion and payout fees are Partner's cost unless Reditus states otherwise.

Volume bonuses (Annex 2) are one-time cash amounts, not an increase to the recurring rate, and do not extend the Commission Period.

Partner must dispute Reditus statements within seven (7) days of issuance or they are final, absent manifest error.

07Clawbacks and adjustments#

Refunds, partial refunds, chargebacks, and payment disputes reverse related commission, including after payout. NarraSEO may recover reversed amounts from future commissions or by invoice to Partner. Fraudulent or Terms-breaching referrals void related commissions; unpaid amounts forfeit; paid amounts may be clawed back. NarraSEO may withhold payouts for up to sixty (60) days pending investigation of suspected fraud or breach.

08Term and termination#

The Partner Agreement starts on acceptance and continues until terminated. Either party may terminate without cause at any time by written notice (including email or Reditus).

• Without cause (either party): Partner must stop acquiring new Leads. For already-attributed Leads, Partner continues to earn remaining Commission Period commissions only while those Leads keep paying, subject to exclusions and clawbacks. Assumed or average "remaining period" payouts without ongoing paid subscription are not owed.
• For cause by NarraSEO (fraud, spam, brand bidding, self-referral, material breach): immediate termination; all unpaid commissions forfeit; clawback of amounts paid that relate to the breach; no further earnings on any Leads.
• For cause by Partner (NarraSEO material breach): Partner may terminate; vested commissions on existing Leads remain payable as under without-cause.
• Buyout: NarraSEO may end future commissions on existing Leads by paying a buyout equal to the average monthly commission on those Leads over the prior three (3) months, multiplied by remaining months in the Commission Period. After buyout, $0 further on those Leads.

09Intellectual property#

No IP transfers under this Agreement. NarraSEO retains all rights in its services and materials. Partner receives a limited, revocable license to use NarraSEO names and logos solely to perform Referral Services, subject to brand guidelines. NarraSEO may use Partner's name and logo to identify Partner as a partner. Licenses end on termination.

10Confidentiality#

Each party will keep confidential the contents of this Agreement and non-public information marked or reasonably understood as confidential, except as required by law (with notice where legally permitted). Exceptions: public information, prior possession, independent development, or lawful third-party disclosure without duty of confidence. On termination, return or destroy confidential materials on request.

11Liability and tax#

NarraSEO is liable only for direct damages from an attributable breach. Indirect damages (including lost profits, lost data, reputational harm, and business interruption) are excluded. NarraSEO's aggregate liability is limited to commissions paid to Partner in the three (3) months before the event, except for willful misconduct. Partner must notify NarraSEO in writing of any damage claim within thirty (30) days of discovery. Partner is solely responsible for taxes on commissions.

12Force majeure#

Neither party is liable for failure or delay caused by events beyond reasonable control, including outages, network attacks, natural disasters, war, labor disputes, or supplier failures.

13Amendments#

NarraSEO may amend these Terms (including Annexes) with fourteen (14) days' written notice (email or Reditus). Continued participation after the effective date is acceptance. If you reject an amendment, you may terminate before it takes effect; vested commissions on existing Leads continue under the prior economics unless NarraSEO exercises buyout.

14Governing law and disputes#

Governing law. These Terms are governed by the laws of the State of New York, excluding conflict-of-law rules.

Informal resolution. Before filing a claim, email support@narraseo.com and attempt informal resolution for at least thirty (30) days.

Arbitration. Except for small-claims matters and intellectual property injunctions, any dispute arising out of or relating to these Terms will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its applicable rules. The seat of arbitration is New York, New York. Class, collective, and representative actions are waived to the maximum extent permitted by law.

15Miscellaneous#

"Written" includes email and Reditus messages where identity and integrity can be adequately established. NarraSEO's records of communications are authentic unless Partner proves otherwise. If a provision is unenforceable, it will be modified to the minimum extent required; the remainder stays in effect. NarraSEO may assign this Agreement without Partner consent. Partner may not assign without NarraSEO's prior written consent. English is the controlling language. These Terms, Annexes, and the Partner Program description on Reditus are the entire agreement on Referral Services.

16Annex 1 — Referral services and variable term sheet#

17Annex 2 — Additional terms#

Volume bonuses (each threshold once ever). $250 at 10 qualified referrals; $750 at 25; $2,000 at 50. These are one-time cash amounts, not an increase to the 20% recurring rate, and do not extend the Commission Period. Qualified means an active paying subscription with at least sixty (60) paid days, not self-referral, not shared payment instrument, not shared trial fingerprint, and not fraud-excluded. Churned or refunded referrals do not count. If a referral refunds after a bonus was paid and that referral was needed to cross a threshold, NarraSEO may claw back that bonus. Reditus Performance campaigns may implement these bonuses as closely as the platform allows; if platform counting conflicts with this Annex, these Terms control and NarraSEO may adjust or claw back.

Approved claims (examples). Plan, write, optimize, and publish SEO content with shared credits; Autoblog, AI Visibility, and Site Audit on paid plans; publish to supported CMS integrations; transparent shared-credit model (no "unlimited").

Banned claims (examples). Unlimited articles or research; guaranteed #1 rankings; social-native publishing NarraSEO does not provide; any claim that contradicts the public Terms or marketing bans.

In-app Advocates. The in-product Refer & Earn / advocate program is separate from this cash affiliate program and is governed by the Refer & Earn Terms. Advocate rewards under that program (including a one-time cash Advocate Reward and a Friend discount) are not the 20% recurring Affiliate rate in this Agreement. The same Lead cannot earn both Affiliate commission under these Terms and an Advocate Reward under the Refer & Earn Terms.

Paid ads. Non-brand paid search is allowed. Brand-name paid search — including misspellings and brand+coupon or brand+discount variants — is forbidden (see Prohibited conduct). This matches the Reditus program setting "Paid search ads are allowed, except on brand name."

FTC disclosure. Where required, Partner must clearly disclose the affiliate relationship.
